Aegis End User License Agreement

This End User License Agreement ("Agreement") is between Zoffec Infotech Pvt Ltd ("ZTPL", "we", "us") and the licensee identified in the applicable license key ("Customer", "you"), governing use of the Aegis SEBI CSCRF Compliance Platform desktop application ("Software").

1. License Grant

Subject to this Agreement and payment of applicable fees, ZTPL grants Customer a non-exclusive, non-transferable license to install and use the Software on the number of machines and for the number of managed entities / users specified in the Customer's license key, for the term stated in that key.

2. License Tiers

The Software is licensed under one of the commercial tiers described at `https://www.ztplsolutions.com/pricing` at the time of purchase (MSSP entity-range tiers, or Direct Lite/Pro). The features enabled for a given license are determined solely by the signed license key issued by ZTPL and are not otherwise negotiable except via a new key.

3. Machine Lock

A license key activates on, and locks to, the first machine on which it is used. Using the Software on an additional machine requires an additional license key, except where ZTPL has agreed otherwise in writing.

4. Data Locality

The Software stores all Customer compliance data (assessments, evidence, documents, risk registers, and all other records Customer creates) locally, on Customer's own machine, in a database embedded within the Software. ZTPL does not have access to, and does not store copies of, this data. The only data ZTPL's systems receive from an activated installation are: (a) a one-way hash of the license key, sent solely to check whether that key has been revoked; and (b) email sent through Customer's own configured mail settings, which passes through ZTPL's infrastructure only to the extent Customer's own SMTP/mail provider requires.

5. Term, Expiry, and Read-Only Mode

A paid license degrades to a read-only mode upon expiry (after any grace period stated in the key) rather than blocking access — Customer's data remains visible and exportable at all times. Trial licenses do not carry this protection and may lock entirely upon expiry, as disclosed at the time the trial was issued.

6. Revocation

ZTPL may revoke a license key, for example for non-payment or breach of this Agreement. Revocation is enforced on a best-effort basis when the installed Software has internet connectivity; the Software does not require internet access to operate and a fully offline installation may continue to function until the key's stated expiry.

7. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ZTPL DOES NOT WARRANT THAT THE SOFTWARE WILL MEET CUSTOMER'S REQUIREMENTS OR THAT USE OF THE SOFTWARE ALONE SATISFIES CUSTOMER'S REGULATORY OBLIGATIONS UNDER THE SEBI CYBER SECURITY AND CYBER RESILIENCE FRAMEWORK OR ANY OTHER APPLICABLE LAW. Customer remains solely responsible for its own regulatory compliance.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZTPL'S TOTAL LIABILITY ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY CUSTOMER FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
